APRILIS LLC
Terms of Service
Effective date: June 21, 2026
These Terms of Service (“Terms”) govern access to and use of the Vee application, website, documentation, APIs, support services, and related products and services provided by Aprilis LLC (“Aprilis,” “we,” “us,” or “our”) (collectively, the “Service”). By creating an account, clicking to accept, signing an order form, or using the Service, you agree to these Terms on behalf of yourself and, if applicable, the company or organization you represent (“Customer,” “you,” or “your”).
If you use the Service on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree to these Terms, do not use the Service.
1. Definitions
- “Authorized User” means an employee, contractor, partner, adviser, or other individual whom Customer authorizes to access the Service under Customer’s account.
- “Customer Content” means data, files, documents, spreadsheets, prompts, instructions, accounting records, contracts, lease data, schedules, workpapers, notes, outputs stored in Customer’s workspace, and other content submitted to or generated through the Service by or for Customer.
- “CPA Check” means the optional, limited, non-attest secondary check of selected Outputs and supporting Customer Content described in Section 5.1.
- “Documentation” means user guides, technical documentation, help-center materials, security materials, and other written materials made available by Aprilis for the Service.
- “Order” means an online checkout, order form, statement of work, subscription plan, invoice, or other ordering document accepted by Aprilis that describes the Service, fees, subscription period, usage limits, or other commercial terms.
- “Output” means workpapers, memoranda, schedules, summaries, explanations, analysis, recommendations, comments, or other results generated by the Service from Customer Content or user instructions.
2. The Service
Vee is a software application that assists accounting and finance professionals in preparing technical accounting workpapers and related analysis from financial and business source data provided by Customer. The Service may include document processing, data extraction, calculations, workflow tools, AI-assisted analysis, drafting support, collaboration features, and export functionality.
Subject to these Terms and the applicable Order, Aprilis grants Customer a limited, non-exclusive, non-transferable, non-sublicensable right during the subscription term to access and use the Service for Customer’s internal business and professional purposes. Use is limited to Authorized Users and any usage limits, seat limits, plan restrictions, or scope described in the Order and Documentation.
Aprilis may update, modify, or improve the Service from time to time, including by adding, changing, or removing features, provided that Aprilis will not materially reduce core functionality during a paid subscription term without reasonable notice or an alternative remedy where required by the applicable Order.
3. Accounts, administrators, and security
- Customer is responsible for selecting Authorized Users, assigning roles and permissions, reviewing account activity, disabling access when users no longer need it, and maintaining appropriate internal controls over its workspace.
- Customer and Authorized Users must provide accurate account information, keep credentials confidential, enable and maintain multi-factor authentication where available or required, and promptly notify Aprilis of suspected unauthorized access.
- Customer is responsible for all activity under its account, except to the extent caused by Aprilis’s breach of these Terms.
- Customer must not share user accounts, bypass seat limits, or allow any person other than the assigned Authorized User to use an account.
4. Customer Content and ownership
As between the parties, Customer retains all right, title, and interest in Customer Content. Aprilis does not claim ownership of Customer Content.
Customer grants Aprilis a limited, worldwide, non-exclusive license to host, copy, process, transmit, display, reproduce, transform, and create outputs from Customer Content solely as necessary to provide, secure, maintain, troubleshoot, improve, and support the Service; comply with law; and perform Aprilis’s obligations under these Terms and applicable Orders.
Subject to Customer’s rights in Customer Content and Aprilis’s rights in the Service, Customer may use Outputs for Customer’s internal business and professional purposes and for delivery to Customer’s clients, provided Customer reviews and approves the Outputs and complies with these Terms, applicable law, professional standards, engagement obligations, and client instructions.
Aprilis may use aggregated or de-identified information derived from Service usage to operate, analyze, and improve the Service, develop features, monitor performance, and create benchmarks, provided the information does not identify Customer, Customer’s clients, Authorized Users, or individuals.
5. AI functionality and professional responsibility
The Service uses AI and automation to assist with technical accounting workflows. AI and automated Outputs may be inaccurate, incomplete, outdated, inconsistent, or unsuitable for a particular fact pattern. The Service is a tool to assist professional analysis; it is not a substitute for professional judgment, appropriate professional oversight, or quality control.
Except for the limited CPA Check expressly described in Section 5.1, Aprilis is a technology provider and is not a CPA firm, public accounting firm, auditor, tax adviser, law firm, valuation firm, broker-dealer, investment adviser, or standards-setting body. Neither the Service nor a CPA Check constitutes an audit, formal review, compilation, attestation, assurance engagement, legal opinion, tax opinion, or other regulated professional engagement. Aprilis does not sign reports, issue assurance, make management decisions, prepare or certify financial statements, provide independence conclusions, or determine compliance with professional standards on Customer’s behalf.
Customer is solely responsible for:
- Determining whether the Service is appropriate for a matter, client, engagement, jurisdiction, reporting framework, materiality threshold, and professional context.
- Verifying source data, assumptions, calculations, citations, accounting conclusions, disclosures, and workpaper sufficiency.
- Reviewing all Outputs before relying on them or providing them to clients, auditors, regulators, investors, lenders, management, boards, or other third parties.
- Maintaining appropriate engagement documentation, supervision, review, independence, confidentiality, and quality-management procedures.
- Ensuring compliance with GAAP, IFRS, PCAOB standards, AICPA standards, SEC rules, IRS rules, state board requirements, firm methodology, company policy, and other applicable requirements.
Customer must not represent that Aprilis has approved, audited, certified, guaranteed, or signed off on any accounting conclusion, financial statement, disclosure, workpaper, memo, or professional deliverable.
5.1 Optional CPA Check
This is not a CPA firm and these services are not regulated by the Texas State Board of Public Accountancy.
Where offered and separately purchased or included in an Order, the Service may provide an optional CPA Check. A CPA Check is a limited, non-attest secondary check of selected Outputs and supporting Customer Content by an individual engaged by Aprilis and identified as a licensed Certified Public Accountant. It is intended to provide an additional pair of professional eyes and may identify apparent inconsistencies, missing information, unsupported assumptions, calculation or presentation issues, questions requiring further consideration, or other observations within the submitted materials.
A CPA Check is based solely on the Customer Content, instructions, assumptions, accounting framework, materiality information, and scope submitted by Customer. The CPA Check professional is not responsible for information that is incomplete, inaccurate, misleading, omitted, inaccessible, or provided after the check is completed.
A CPA Check is not, and must not be represented as, an audit, formal review, compilation, preparation engagement, examination, agreed-upon procedures engagement, attestation engagement, peer review, engagement quality review, or other assurance engagement performed under generally accepted auditing standards, Statements on Standards for Accounting and Review Services, Statements on Standards for Attestation Engagements, PCAOB standards, or similar professional standards.
Neither Aprilis nor the CPA Check professional provides an audit opinion, review conclusion, assurance, certification, approval, validation, guarantee, or professional sign-off regarding any Output, accounting position, workpaper, financial statement, disclosure, calculation, source document, or conclusion.
Unless expressly included in a separate written agreement, the CPA Check professional is not required to:
- Independently verify Customer Content, source data, management representations, or supporting documentation.
- Inspect records that were not submitted through the Service or contact management, auditors, attorneys, customers, vendors, lenders, or other third parties.
- Test transactions, account balances, calculations, internal controls, or compliance procedures.
- Search for omitted, contradictory, fraudulent, illegal, or misleading information, or detect fraud, illegal acts, control deficiencies, or material misstatements.
- Assess independence, conflicts, materiality, tax consequences, legal compliance, valuation matters, regulatory requirements, or matters outside the stated scope.
- Update the CPA Check for new facts, amended Customer Content, changes in standards or guidance, or events occurring after the check is completed.
Customer remains solely responsible for determining the appropriate accounting treatment; evaluating the completeness and accuracy of Customer Content; resolving questions or comments raised during the CPA Check; reviewing and approving all Outputs; and complying with applicable accounting standards, professional standards, laws, engagement obligations, firm methodology, internal policies, supervision requirements, and quality-management procedures.
CPA Check comments, annotations, questions, suggested revisions, and other communications are Outputs under these Terms and are subject to the same disclaimers, limitations of liability, and Customer verification obligations that apply to all other Outputs.
Customer may accurately state that particular materials were submitted through the Aprilis CPA Check feature. Customer may not state or imply that Aprilis or the CPA Check professional audited, formally reviewed, approved, certified, validated, guaranteed, or signed off on the materials or related accounting conclusions.
A CPA Check does not create an audit, attest, assurance, fiduciary, or other direct professional engagement between the CPA Check professional and Customer, Customer’s client, or any other third party. No third party is an intended beneficiary of a CPA Check.
Aprilis may decline, limit, pause, or reassign a CPA Check when the requested matter is outside the feature’s scope, submitted information is insufficient, a potential conflict exists, specialized licensing or expertise is required, or Aprilis reasonably determines that the check cannot be appropriately completed. Turnaround times are estimates unless expressly guaranteed in an Order.
6. Customer obligations and data rights
Customer represents and warrants that it has all rights, authorizations, consents, permissions, notices, and legal bases needed to upload Customer Content to the Service and to permit Aprilis and its subprocessors to process Customer Content as described in these Terms, the Privacy Policy, and any applicable data processing agreement.
Customer is responsible for complying with client confidentiality obligations, engagement letters, state board rules, employer policies, data-protection laws, information-security policies, document-retention rules, and any restrictions that apply to Customer Content.
Unless expressly authorized in writing by Aprilis, Customer must not upload or process through the Service protected health information, full payment-card numbers, consumer credit reports, children’s information, government identification numbers, export-controlled data, classified information, or other regulated data that requires specialized handling beyond what is described in the applicable Order or data processing agreement.
7. Acceptable use
Customer and Authorized Users must use the Service only for lawful, authorized, professional purposes. Customer must not, and must not allow anyone to:
- Access or use the Service in violation of law, professional rules, these Terms, an Order, the Documentation, or another person’s rights.
- Upload Customer Content that Customer is not authorized to provide, or use the Service to process data in a manner prohibited by client instructions or law.
- Attempt to gain unauthorized access to the Service, other accounts, systems, networks, models, prompts, source code, infrastructure, or data.
- Probe, scan, test, or circumvent security controls, except through an Aprilis-approved security testing program.
- Reverse engineer, decompile, disassemble, scrape, copy, benchmark for competitive purposes, or attempt to extract models, source code, architecture, prompts, embeddings, or non-public information from the Service, except to the extent such restriction is prohibited by law.
- Use the Service to develop or train a competing product or service, or to create datasets intended to replace or replicate the Service.
- Upload malware, malicious code, corrupted files, or content designed to disrupt, damage, overload, or impair the Service.
- Remove proprietary notices, misrepresent the source of Outputs, or imply Aprilis endorsement where none exists.
- Use the Service for high-risk decisions where an error could cause death, bodily injury, physical property damage, or legally significant harm without appropriate human review and controls.
- Use the Service in a manner that could interfere with availability, performance, security, integrity, or other customers’ use of the Service.
8. Confidentiality
“Confidential Information” means non-public information disclosed by one party to the other that is marked confidential or should reasonably be understood to be confidential based on its nature and the circumstances of disclosure. Customer Content is Customer’s Confidential Information. The Service, Documentation, product roadmap, pricing, security materials, and non-public technical information are Aprilis’s Confidential Information.
Each party will use the other party’s Confidential Information only to perform under these Terms and applicable Orders; protect it using at least reasonable care; and disclose it only to personnel, contractors, service providers, professional advisers, or representatives who need to know it and are bound by confidentiality obligations. Confidentiality obligations do not apply to information that is publicly available without breach, already known without restriction, independently developed without use of Confidential Information, or rightfully received from a third party without restriction.
A party may disclose Confidential Information if required by law or legal process, provided it gives reasonable notice where legally permitted and cooperates in efforts to limit disclosure.
9. Privacy, data processing, and security
Aprilis’s processing of personal information is described in the Aprilis Privacy Policy. If Customer Content includes personal information that Aprilis processes on Customer’s behalf, the parties may enter into a data processing agreement (“DPA”). If there is a conflict between these Terms and a signed DPA regarding processing of personal information, the DPA controls for that conflict.
Aprilis will maintain administrative, technical, and organizational safeguards designed to protect Customer Content against unauthorized access, loss, misuse, alteration, and disclosure. These safeguards may include encryption in transit and at rest, access controls, security logging, vulnerability management, backups, and vendor due diligence. Customer acknowledges that no service can guarantee absolute security.
Aprilis may use subprocessors and professional-services providers to provide the Service, including cloud infrastructure, AI inference, storage, authentication, logging, analytics, communications, support, security, payment, and CPA Check providers. Aprilis will require such providers to process Customer Content only for authorized purposes and to protect it appropriately. Aprilis will remain responsible for their performance of Aprilis’s obligations under these Terms, except to the extent an issue is caused by Customer’s instructions, third-party integrations, or Customer-controlled systems.
10. Third-party services and integrations
The Service may integrate with or enable access to third-party services, such as cloud storage, accounting systems, identity providers, payment processors, analytics tools, AI providers, or communication platforms. Customer’s use of third-party services is governed by the third party’s terms and privacy practices. Aprilis is not responsible for third-party services that are not controlled by Aprilis.
If Customer enables an integration, Customer authorizes Aprilis to access, exchange, transmit, and process information from that integration as needed to provide the Service. Customer is responsible for configuring integrations, permissions, and access controls appropriately.
11. Fees, subscriptions, and payment
Fees, billing periods, usage limits, payment terms, renewal terms, and taxes are set out in the applicable Order. Unless the Order states otherwise, fees are non-refundable and payable in U.S. dollars.
Customer authorizes Aprilis and its payment processor to charge the payment method provided for recurring fees, usage-based charges, taxes, and other amounts due. Customer must keep billing information current. Late amounts may result in suspension, termination, interest, collection costs, or other remedies permitted by law and the applicable Order.
Aprilis may change fees for a renewal term or new Order by providing notice before the change takes effect. Promotional, trial, beta, or discounted pricing may be subject to additional limits or may expire at the end of the stated period.
11.1 Cancellation and non-renewal
Customer may request cancellation through the account-management features of the Service, if available, or by sending written notice to [email protected]. The request should include the Customer’s legal or business name, the email address associated with the account, and the requested cancellation date. Aprilis may take reasonable steps to verify that the person submitting the request is authorized to cancel the account.
For month-to-month subscriptions, Customer must provide at least thirty (30) days’ written notice of cancellation. Cancellation becomes effective thirty (30) days after Aprilis receives the request, or on a later date specified by Customer. Customer remains responsible for all fees and charges incurred through the effective cancellation date, including any recurring charge that becomes due during the thirty-day notice period, and may continue using the Service through that date.
For annual or other fixed-term subscriptions, the subscription remains in effect for the full committed term unless the applicable Order expressly permits earlier cancellation. To prevent automatic renewal, Customer must provide written notice of non-renewal at least thirty (30) days before the end of the then-current subscription term. Cancellation, account inactivity, or non-use during a committed term does not relieve Customer of payment obligations for that term.
Except where required by law or expressly stated in an Order, fees are non-refundable, and Aprilis does not provide prorated refunds or credits for unused subscription time, unused seats, unused usage allowances, early cancellation, or account inactivity.
Aprilis will use reasonable efforts to acknowledge a cancellation request by email. Cancellation does not affect payment obligations or other liabilities that accrued before the effective cancellation date.
12. Trials, beta features, and previews
Aprilis may offer free trials, pilots, beta features, experimental tools, previews, or evaluation access. These offerings may be limited, modified, or discontinued at any time; may be subject to additional terms; may not be supported; and may be less reliable or less secure than generally available features. Beta and trial features are provided “as is” and should not be used for production, client, regulatory, or high-stakes work unless Aprilis expressly agrees in writing.
13. Support, availability, and changes
Aprilis will use commercially reasonable efforts to make the Service available and provide support as described in the applicable Order or Documentation. The Service may be unavailable due to maintenance, updates, internet or cloud-provider issues, third-party service interruptions, security events, force majeure events, or causes beyond Aprilis’s reasonable control.
Aprilis may impose reasonable usage limits, rate limits, storage limits, file-size limits, or other technical restrictions to protect the Service and manage capacity. Aprilis may update these limits from time to time.
14. Suspension
Aprilis may suspend access to the Service immediately if Aprilis reasonably believes that Customer or an Authorized User has violated these Terms; poses a security, legal, or operational risk; uses the Service in a way that could harm Aprilis, other customers, or third parties; fails to pay amounts due; or if suspension is required by law or a third-party provider. Aprilis will use reasonable efforts to provide notice and an opportunity to cure when practical and lawful.
15. Term and termination
These Terms begin when Customer first accepts them or uses the Service and continue until terminated. Each subscription continues for the term stated in the applicable Order and renews as stated in that Order.
Customer may cancel or elect not to renew a subscription only in accordance with Section 11.1 and the applicable Order.
Either party may terminate for material breach if the breach is not cured within 30 days after written notice, unless a shorter period is stated in the Order or immediate termination is permitted by these Terms. Aprilis may terminate or suspend free, trial, or inactive accounts at any time with reasonable notice where practical.
Upon termination or expiration, Customer’s right to use the Service ends. Customer should export Customer Content before termination when export functionality is available. Aprilis will handle deletion or return of Customer Content in accordance with the Privacy Policy, DPA, and applicable Order. Sections that by their nature should survive will survive, including confidentiality, ownership, payment obligations, disclaimers, limitations of liability, indemnity, dispute resolution, and miscellaneous provisions.
16. Intellectual property
Aprilis and its licensors retain all right, title, and interest in the Service, Documentation, software, technology, workflows, templates, prompts, model configurations, interfaces, designs, databases, know-how, trademarks, and other intellectual property, including improvements and derivatives. No rights are granted except as expressly stated in these Terms.
Customer must not remove, obscure, or alter Aprilis proprietary notices or branding in the Service. Customer may use Aprilis’s name only as permitted in writing or as necessary to identify the Service in ordinary business records.
17. Feedback
If Customer or an Authorized User provides ideas, suggestions, requests, comments, or other feedback about the Service, Aprilis may use that feedback without restriction or obligation, provided Aprilis does not disclose Customer Confidential Information in doing so.
18. Publicity
Unless the applicable Order states otherwise, Aprilis may identify Customer as a customer using Customer’s name and logo in customer lists, pitch decks, and marketing materials. Customer may opt out by sending written notice to [email protected]. Aprilis will not publish case studies, quotes, or detailed descriptions of Customer’s use without Customer’s consent.
19. Warranties and disclaimers
Each party represents that it has authority to enter into these Terms. Aprilis warrants that it will provide the Service in a professional and workmanlike manner consistent with these Terms and applicable Orders.
Except as expressly stated, the Service, Documentation, beta features, trials, and Outputs are provided “as is” and “as available.” To the maximum extent permitted by law, Aprilis disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, error-free operation, and that Outputs will satisfy any accounting, audit, tax, legal, regulatory, professional, client, or business requirement.
Aprilis does not warrant that the Service will be uninterrupted, error-free, or free from harmful components; that data will never be lost; that Outputs will be complete, current, or correct; or that the Service will identify every relevant accounting issue, disclosure, exception, risk, or professional consideration.
20. Indemnification
Customer will defend, indemnify, and hold harmless Aprilis and its officers, directors, employees, contractors, affiliates, and agents from and against claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising from or relating to Customer Content; Customer’s or Authorized Users’ use of the Service; Customer’s breach of these Terms; Customer’s violation of law, professional obligations, or third-party rights; or Customer’s reliance on or distribution of Outputs without appropriate review.
If an applicable Order expressly includes an Aprilis indemnity for third-party intellectual-property claims, that indemnity will apply only to the Service as provided by Aprilis and will not apply to claims arising from Customer Content, Customer instructions, third-party services, modifications not made by Aprilis, combination with items not provided by Aprilis, beta features, or use after Aprilis provides a replacement, workaround, or termination option.
21. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages; lost profits; lost revenue; lost business opportunities; loss of goodwill; loss or corruption of data; business interruption; or cost of substitute services, even if advised of the possibility of such damages.
To the maximum extent permitted by law, Aprilis’s total aggregate liability arising out of or relating to the Service, these Terms, and all Orders will not exceed the amounts paid or payable by Customer to Aprilis for the Service giving rise to the claim during the 12 months before the event giving rise to liability. If Customer uses a free trial, beta, pilot, or no-fee Service, Aprilis’s aggregate liability for that Service will not exceed $100.
The limitations in this section apply to all theories of liability, including contract, tort, negligence, strict liability, warranty, statute, and otherwise, and apply even if a remedy fails of its essential purpose. Some jurisdictions do not allow certain limitations, so some limitations may not apply.
22. Compliance with laws
Each party will comply with laws applicable to its performance under these Terms. Customer is responsible for determining whether the Service and Customer’s use of Outputs comply with laws, regulations, professional standards, client agreements, and internal policies applicable to Customer and its clients.
Customer must not use the Service in violation of export-control, sanctions, anti-corruption, anti-money laundering, privacy, data-protection, cybersecurity, or professional-regulation requirements. Customer represents that it is not located in, organized under the laws of, or ordinarily resident in a country or territory subject to comprehensive sanctions and is not listed on a restricted-party list that would prohibit use of the Service.
23. Disputes, governing law, and venue
These Terms and any dispute arising from or relating to them or the Service are governed by the laws of the State of Texas, without regard to conflict-of-laws rules. Subject to any mandatory law or different venue stated in an Order, the parties consent to exclusive jurisdiction and venue in the state and federal courts located in Harris County, Texas.
Before filing a claim, the parties will attempt in good faith to resolve the dispute by written notice and executive-level discussions for at least 30 days, except for claims seeking injunctive relief, protection of Confidential Information, non-payment, or misuse of the Service.
24. Changes to these Terms
Aprilis may update these Terms from time to time. Material changes will be posted or otherwise communicated with a revised effective date. Changes generally apply at the start of the next renewal term unless required sooner by law, security needs, third-party provider requirements, or new features. Continued use of the Service after updated Terms become effective constitutes acceptance of the updated Terms.
25. Notices
Aprilis may provide notices through the Service, by email, through account dashboards, or by posting on its website. Customer notices to Aprilis must be sent to [email protected] unless the applicable Order provides a different notice address. Notices are effective when sent or posted, except that legal notices requiring formal service must be provided as required by law.
26. Miscellaneous
These Terms, together with all applicable Orders, the Privacy Policy, any DPA, and any referenced policies, are the entire agreement between the parties regarding the Service and supersede prior or contemporaneous agreements on that subject. If there is a conflict, the Order controls over these Terms for the conflicting commercial term, and a signed DPA controls for conflicting data-processing terms.
Customer may not assign these Terms without Aprilis’s prior written consent, except to a successor in connection with a merger, acquisition, or sale of substantially all assets, provided the assignee agrees to be bound by these Terms. Aprilis may assign these Terms in connection with a merger, acquisition, corporate reorganization, sale of assets, or by operation of law.
Neither party is liable for delay or failure to perform due to events beyond its reasonable control, including natural disasters, labor disputes, internet or cloud-provider outages, war, terrorism, civil unrest, government action, epidemic, or utility failure, except for payment obligations.
If any provision is unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in effect. Failure to enforce a provision is not a waiver. Headings are for convenience only. There are no third-party beneficiaries except as expressly stated.
27. Contact
Questions about these Terms may be sent to [email protected] or to Aprilis LLC at the business address identified in the applicable Order or website contact page.
